Terms of Service

1. Who we are, and what these terms cover

ThroughlineOps is provided by Throughline Ltd(“Throughline”, “we”), registered in England and Wales under company number 13063175, registered office C E M E Innovation Centre, Marsh Way, Rainham, England, RM13 8EU.

These terms govern your use of the ThroughlineOps service — the application at throughlineop.co.uk, its APIs, and its integrations. By creating an account, or by using the service, you agree to them on behalf of the business you represent.

ThroughlineOps is a business tool, sold to businesses. It is not offered to consumers, and consumer protection law that applies only to consumers does not apply to it.

2. Your account and workspace

You are responsible for the accuracy of the information on your account, for keeping your credentials confidential, and for everything done under your workspace by the people you invite into it. Workspace owners and admins can manage members, billing and integrations; granting those roles is your decision.

You must not use the service to break the law, to infringe anyone’s rights, to send unsolicited bulk email, or to probe, overload or interfere with the service or other customers’ data. We may suspend a workspace that does.

3. The trial

New workspaces start on a free trial, currently 5 days. During the trial the service is provided as-is, for evaluation. When the trial ends, operational features stop working until a subscription is in place — your data is not deleted, and you can export it or subscribe to continue.

4. Fees and payment

Current prices are shown on our pricing page. Subscriptions are billed in advance — monthly, annually or for two years — and implementation work is invoiced separately where agreed.

We invoice by email and are paid by bank transfer, with payment due 14 days from the invoice date unless your invoice says otherwise. We do not take card payments. Prices are in pounds sterling; where VAT applies it will be shown on the invoice.

If an invoice remains unpaid past its due date we will remind you, and if it remains unpaid after a further grace period we may suspend operational access until it is paid. Suspension for non-payment does not delete your data, and access returns when the invoice is settled. Fees already paid are not refundable except where the law requires it.

5. Your data

The business data you put into ThroughlineOps — orders, products, customers, documents — is yours. You grant us the licence needed to host it, process it and move it between the systems you connect, because that is what the service is for, and no more. We process personal data as described in our Privacy Policy.

You are responsible for having the right to put the data you upload into the service — including your own customers’ order data — and for the accuracy of what you upload.

6. Integrations

ThroughlineOps connects to third-party systems you choose — sales channels, marketplaces, warehouses, accounting software. Those systems have their own terms and their own availability, neither of which is within our control. When you connect one, you authorise us to exchange your data with it on your behalf; disconnecting it stops that exchange.

7. Availability and support

We work to keep the service available and correct, and we tell you honestly when something is wrong — but the service is provided without a guaranteed uptime level. Support is by email at support@throughlineop.co.uk. Planned changes that remove functionality you rely on will be communicated in advance where reasonably possible.

8. Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that: we are not liable for loss of profits, loss of business, or indirect or consequential loss; and our total liability arising out of the service in any 12-month period is capped at the fees you paid us for the service in that period. The service moves your business data between systems on your instructions — you remain responsible for the commercial decisions taken on it.

9. Ending the agreement

You can stop using the service at any time; paid periods already invoiced remain payable. We can end the agreement on notice at the end of a paid period, or immediately for a serious breach of these terms that is not put right. On termination we will make your data available for export for a reasonable period before deletion.

10. Changes, and the rest

We may update these terms; material changes will be notified to workspace owners by email or in the application, and continuing to use the service after they take effect is acceptance. If any part of these terms is found unenforceable the rest stands. These terms are the whole agreement between us about the service unless we have signed something else with you, and they are governed by the law of England and Wales, with the courts of England and Wales having exclusive jurisdiction.
